Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Customer" or "you") and PrintRecon LLC ("PrintRecon," "we," "us," or "our") governing your access to and use of the PrintRecon platform and services (collectively, the "Services"). By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.
1. Service Description
PrintRecon provides a cloud-based Software as a Service (SaaS) platform for conducting print device assessments, including mobile applications for field data collection, web-based management tools, floorplan mapping, Total Cost of Ownership (TCO) calculations, and reporting features. The specific features and functionality available to you depend on your subscription plan.
2. Account Registration and Security
To use our Services, you must:
- Provide accurate, complete, and current information during registration
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
- Be at least 18 years of age and have the legal capacity to enter into binding contracts
You agree not to share your account credentials with others or allow others to access your account. PrintRecon is not liable for any losses or damages arising from your failure to maintain the security of your account.
3. Subscription Plans and Pricing
Important Billing Information:
- Prepayment: All subscriptions are prepaid for the selected billing period (monthly or yearly).
- Per-Tablet Pricing: You are charged based on the number of tablets selected for your subscription.
- Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
- Non-Refundable: All subscription fees are non-refundable, except as required by law.
3.1 Payment Terms
- Payment is due upfront for the selected subscription period.
- All payments are processed securely through Stripe, our third-party payment processor.
- You authorize us to charge your payment method for all fees owed.
- Pricing is subject to change with 30 days' notice. Changes will take effect at your next renewal.
- Failed payments may result in suspension or termination of your account.
3.2 Modifying Your Subscription
- Adding Tablets: You may add tablets at any time. You will be charged a prorated amount for the remainder of your current billing period.
- Upgrading Plans: You may upgrade from Monthly to Yearly at any time. Unused credits from your Monthly plan will be applied to the Yearly plan.
- No Downgrades: You cannot downgrade from Yearly to Monthly. This change will only be available at the end of your yearly term.
4. Cancellation and Termination
4.1 Cancellation by Customer
You may cancel your subscription at any time through your account settings. Upon cancellation:
- Your access to the Services will continue until the end of your current paid period.
- No refunds will be issued for the remainder of your paid period.
- Your data will be retained for 90 days after cancellation, allowing you to reactivate or export your data.
- After 90 days, your data will be permanently deleted from our systems.
4.2 Termination by PrintRecon
We may suspend or terminate your account immediately if:
- You violate these Terms
- Your payment method fails or you have unpaid fees
- You engage in fraudulent, abusive, or illegal activities
- You pose a security risk to our Services or other users
- We are required to do so by law
If we terminate your account for cause, you will not be entitled to any refunds for prepaid fees.
5. Data and Content Ownership
5.1 Your Data
You retain all rights, title, and interest in the data you collect and store using our Services ("Customer Data"). You grant PrintRecon a limited license to store, process, and transmit Customer Data solely to provide the Services. We will not use, disclose, or access Customer Data except as necessary to provide the Services, comply with legal obligations, or as authorized by you.
5.2 Our Platform
PrintRecon retains all rights, title, and interest in the Services, including all software, technology, intellectual property, trademarks, and proprietary materials. These Terms do not grant you any ownership rights in the Services.
6. Acceptable Use
You agree NOT to:
- Use the Services for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Services or servers
- Reverse engineer, decompile, or disassemble any part of the Services
- Use automated tools (bots, scrapers) without our written permission
- Upload malicious code, viruses, or harmful content
- Resell, sublicense, or transfer your account to others
- Use the Services to spam, harass, or harm others
7. Confidentiality and Non-Compete
Confidentiality Obligations:
By using our Services, you acknowledge that you will gain access to confidential and proprietary information about PrintRecon's business, technology, processes, and methodologies.
You expressly agree to the following:
7.1 Confidential Information
"Confidential Information" includes, but is not limited to:
- The design, structure, architecture, and functionality of the PrintRecon platform and Services
- Our software code, algorithms, data models, and database schemas
- User interface designs, workflows, and user experience elements
- Business processes, pricing models, and operational methodologies
- Technical specifications, APIs, and integration methods
- Marketing strategies, customer lists, and business plans
- Any information marked as confidential or that would reasonably be considered confidential
7.2 Prohibited Activities
You agree that you will NOT:
- Reverse Engineering: Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying algorithms of the Services
- Copying or Replication: Copy, replicate, or create derivative works based on the Services or any portion thereof
- Competitive Products: Develop, market, or sell any product or service that competes with or is substantially similar to PrintRecon's Services
- Solicitation: Solicit, recruit, or hire any PrintRecon employees or contractors
- Disclosure: Disclose, share, or provide Confidential Information to any third party without our prior written consent
- Competitive Use: Use any knowledge, information, or insights gained from the Services to develop competing products or services
- Trade Secrets: Misappropriate or use our trade secrets for any purpose other than using the Services as intended
7.3 Competitive Restriction
You specifically acknowledge that PrintRecon operates in the print assessment and fleet management software industry. You agree that during your subscription and for three (3) years thereafter, you will not directly or indirectly (whether as an owner, partner, shareholder, consultant, employee, or otherwise) create, develop, market, sell, or participate in any business that offers print assessment software, mobile print device data collection applications, TCO calculation tools for print devices, or similar competing services that would be substantially similar to or competitive with PrintRecon's Services.
7.4 Exceptions
The confidentiality obligations do not apply to information that:
- Was publicly available before disclosure or becomes publicly available through no fault of yours
- Was rightfully in your possession before disclosure by PrintRecon
- Is independently developed by you without use of or reference to Confidential Information
- Is required to be disclosed by law or court order (provided you give us prompt notice of such requirement)
7.5 Injunctive Relief
You acknowledge that violation of this confidentiality and non-compete provision would cause irreparable harm to PrintRecon that cannot be adequately compensated by monetary damages alone. Therefore, PrintRecon shall be entitled to seek injunctive relief, specific performance, and any other equitable remedies available, in addition to monetary damages and any other remedies available at law.
8. Service Availability and Maintenance
We strive to provide reliable and continuous access to our Services. However, we do not guarantee that the Services will be uninterrupted, error-free, or 100% available at all times. We may perform scheduled maintenance, updates, or emergency repairs that may temporarily limit access to the Services. We will provide advance notice of scheduled maintenance when feasible.
9. Data Protection and Security
Our Commitment to Security:
PrintRecon takes reasonable technical and organizational measures to protect your data, including encryption, access controls, regular backups, and security monitoring.
However, you acknowledge and agree that:
- No internet-based service can be 100% secure
- We cannot guarantee absolute security of your data
- You use the Services at your own risk
In the event of a data breach that affects your Customer Data, we will notify you in accordance with applicable laws and provide information about the nature of the breach and steps we are taking to address it.
10. Limitation of Liability
IMPORTANT LEGAL NOTICE:
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- PrintRecon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
- Our total liability to you for all claims arising from or related to the Services shall not exceed the amount you paid us in the 12 months preceding the claim.
- These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. PrintRecon disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will meet your requirements, be uninterrupted, timely, secure, or error-free, or that defects will be corrected.
12. Indemnification
You agree to indemnify, defend, and hold harmless PrintRecon, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any rights of another party, or (d) your Customer Data.
13. Third-Party Services
Our Services may integrate with or link to third-party services (such as Stripe for payment processing, AWS for hosting, or cloud storage providers). We are not responsible for the availability, security, or content of third-party services. Your use of third-party services is governed by their respective terms and privacy policies.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You and PrintRecon agree to waive the right to a jury trial or to participate in a class action. Arbitration shall take place in Dallas, Texas.
15. Force Majeure
PrintRecon shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet failures, or failures of third-party service providers.
16. Export Compliance
You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not on any U.S. Government list of prohibited or restricted parties.
17. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your subscription.
18. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and PrintRecon regarding the Services and supersede all prior agreements and understandings.
